These Terms of Service ("Terms") govern your access to and use of Nookta software and services ("Service") provided by Nookta ("we", "us", or "our"). By using the Service, you agree to be bound by these Terms.
You may use Nookta for lawful business purposes only. You are responsible for all activity that occurs under your account. You agree not to:
You are responsible for safeguarding your account credentials. You must notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage resulting from your failure to comply with this obligation.
You retain ownership of all data you enter into Nookta. By using the cloud features, you grant us a limited license to store, process, and transmit your data solely for the purpose of providing the Service.
Offline (local) mode stores all data exclusively on your device. We have no access to locally stored data.
The offline version of Nookta is free. Cloud features require a subscription after the first free year. Subscription fees are billed in advance on a recurring basis. You may cancel at any time; cancellation takes effect at the end of the current billing period. We do not offer refunds for partial periods.
We strive to keep the Service available at all times but do not guarantee uninterrupted access. We may suspend the Service for maintenance, security, or other operational reasons. We are not liable for any downtime or data loss resulting from these events.
All intellectual property rights in the Service (excluding your data) belong to Nookta. Nothing in these Terms transfers any intellectual property rights to you.
We may suspend or terminate your access to the Service if you breach these Terms. You may stop using the Service at any time. Upon termination, you may export your data for a limited period before it is deleted.
To the maximum extent permitted by law, Nookta is not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability for any claim shall not exceed the amount you paid us in the three months preceding the claim.
We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page and updating the date above. Continued use of the Service after changes constitutes acceptance of the new Terms.
These Terms are governed by the laws of the applicable jurisdiction. Any disputes shall be resolved through good-faith negotiation; failing that, through the courts of the applicable jurisdiction.
